terms of service

1) Acceptance

By accessing this site or engaging our services, you agree to these Terms. If you accept on behalf of an organization, you represent you’re authorized to bind it.

2) Services & Scope

We provide consulting, implementation, and optimization services (e.g., automation builds, deliverability, content systems). Exact scope, milestones, and deliverables are defined in a Proposal/SOW. If these Terms conflict with a signed SOW/MSA, the signed SOW/MSA prevails.

3) Fees & Payments

Prices are in USD unless stated otherwise.

Deposits/retainers may be required before kickoff.

Invoices are due upon receipt (or per SOW).

Late amounts may accrue 1.5% per month (or legal max) plus reasonable collection costs.

You’re responsible for applicable taxes and third-party pass-through costs approved in the SOW.

4) Client Responsibilities

Provide timely access to accounts, data, and personnel; ensure you have rights to materials you supply; follow applicable laws and platform policies (email, social, ad networks, etc.).

5) Intellectual Property

Pre-existing IP (ours)—frameworks, libraries, playbooks, and internal tools—remain ours. We grant you a non-exclusive license to use deliverables produced for your project.

Client materials remain yours.

Any assignment of exclusive rights must be expressly stated in the SOW/MSA.

6) Confidentiality

Each party must protect the other’s non-public information and use it only for the engagement. Exceptions: information that’s public, independently developed, or lawfully obtained from a third party.

7) Acceptable Use & Compliance

No unlawful, deceptive, abusive, or spam activity. You must comply with anti-spam/marketing laws (e.g., CAN-SPAM, GDPR/UK GDPR where applicable), data-protection rules, and provider terms. We may pause work if continued work would violate law or platform rules.

8) Warranties & Disclaimers

Services are provided “as is.” We do not guarantee specific commercial outcomes (e.g., revenue, rankings, deliverability). To the fullest extent permitted by law, we disclaim implied warranties of merchantability, fitness, and non-infringement.

9) Limitation of Liability

To the maximum extent permitted by law, our total liability arising from the services is capped at the fees you paid to us in the 3 months before the claim. We’re not liable for indirect, incidental, special, consequential, punitive, or lost-profit damages.

10) Term, Termination & Effect

Either party may terminate for material breach not cured within 10 days of written notice. On termination, you’ll pay for work performed and non-cancelable third-party costs through the effective termination date. Ongoing licenses end unless otherwise stated in the SOW/MSA.

11) Independent Contractor

We act as an independent contractor; no partnership, joint venture, or employment relationship is created.

12) Force Majeure

Neither party is liable for delays/failures due to causes beyond reasonable control (e.g., outages, acts of God, regulatory actions).

13) Governing Law & Venue

These Terms are governed by Wyoming law (conflicts rules excluded). Exclusive venue lies in state or federal courts located in Natrona County, Wyoming. The parties consent to personal jurisdiction there.

14) Changes

We may update these Terms by posting a new version with a new “Last updated” date. Material changes will be indicated on this page.

refund & cancellation policy

Projects / One-Time Services:

- Before kickoff (no work performed): 100% refund of project fees.

- After kickoff: pro-rata refund for any unused portion of work not yet performed, less time already spent and any approved third-party/non-recoverable costs.

Completed milestones/deliverables: non-refundable.

Monthly / Retainer Services:

- Cancel anytime with 7-day notice before the next billing date.

- The current billing period is non-refundable once work begins.

- Any prepaid future months are refunded in full.

Digital Assets & Templates:

- Once delivered or accessed, digital assets/templates are non-refundable.

- Billing Issues & Chargebacks

If there’s a billing issue, email [email protected]. Unauthorized chargebacks may result in service suspension.

Contract Overrides: If your SOW/MSA specifies different refund or cancellation terms, those override this section.
